Welcome to Pepéra Labs Inc.

These Terms and Conditions (“Terms”) govern your access to and use of the Pepéra Labs Inc. website, online store, products, content, and related services (collectively, the “Services”).

Throughout these Terms, “Pepéra Labs,” “we,” “us,” and “our” refer to Pepéra Labs Inc., a corporation based in Burlington, Ontario, Canada.

“You” and “your” refer to the individual or organization accessing our website, creating an account, or purchasing products through our Services.

By accessing our website, creating an account, placing an order, or otherwise using our Services, you agree to be bound by these Terms, our Privacy Policy, Refund & Returns Policy, and any additional policies referenced on our website.

1. Eligibility

2. Product Use and Regulatory Compliance

Products available through Pepéra Labs must be purchased, possessed, handled, stored, and used in accordance with all applicable federal, provincial, territorial, municipal, and other laws and regulations.

Where a product is identified as being supplied for laboratory, analytical, educational, or research purposes, that designation describes its intended commercial use and does not constitute a representation that the product is exempt from applicable Canadian regulatory requirements.

Pepéra Labs does not represent that a “research use only,” “laboratory use only,” or similar designation creates an exemption from any requirement imposed by Health Canada or another regulatory authority.

Nothing contained on our website or in these Terms authorizes the sale, purchase, possession, importation, distribution, or use of a product where such activity is prohibited by applicable law.

Pepéra Labs reserves the right to discontinue, restrict, or refuse the sale of any product where we believe doing so is necessary to comply with applicable law, regulatory requirements, government directions, or enforcement actions.

3. No Medical Advice

Information made available through Pepéra Labs, including product descriptions, articles, laboratory information, certificates, educational content, customer communications, and other website material, is provided for general informational purposes only unless expressly stated otherwise.

Pepéra Labs does not provide medical advice, diagnosis, treatment recommendations, prescriptions, or individualized healthcare advice.

Information available through our Services should not be interpreted as a substitute for advice from a physician, pharmacist, or other appropriately licensed healthcare professional.

No statement appearing on our website should be interpreted as a claim that a product can diagnose, treat, cure, mitigate, or prevent a disease unless that claim is specifically permitted by applicable Canadian law and supported by the appropriate regulatory authorization.

4. Product Information

We make reasonable efforts to provide accurate product information.

However, product:

Images;
Packaging;
Labels;
Specifications;
Concentrations;
Availability;
Batch information;
Testing information; and
Other characteristics

may occasionally change.

Product images displayed on the website are for illustrative purposes and may differ slightly from the product or packaging received.

Where analytical or laboratory testing information is supplied, it applies only to the batch, sample, or testing circumstances identified in the applicable documentation.

Pepéra Labs does not guarantee that every product will be identical in appearance to website photography.

5. Orders

Submitting an order through our website constitutes an offer to purchase the products listed in your order.

Receipt of an automated order confirmation does not necessarily constitute final acceptance of the order.

Pepéra Labs reserves the right, before fulfillment, to accept, decline, place on hold, or cancel an order for legitimate reasons including:

Product availability;
Incorrect pricing or product information;
Suspected fraud;
Payment verification problems;
Shipping restrictions;
Regulatory requirements;
Legal restrictions;

Applicable taxes will generally be calculated during checkout based on the information available to us and applicable tax requirements.

Shipping estimates provided by Pepéra Labs are estimates only unless expressly guaranteed.

Delivery times may be affected by circumstances outside our control, including:

Carrier delays;
Weather;
Labour disruptions;
Customs or regulatory reviews;
Incorrect addresses;
Remote delivery locations;
Holidays; or
Other transportation disruptions.

Customers are responsible for providing a complete and accurate delivery address.

12. Risk Associated With Delivery

Responsibility for a shipment will be determined in accordance with applicable law and our Refund & Returns Policy.

Customers should arrange to retrieve delivered products promptly and comply with any storage or handling information associated with the product.

Pepéra Labs is not responsible for deterioration or damage caused by improper handling or storage following successful delivery, except where otherwise required by law.

13. Returns and Refunds

Returns, refunds, replacements, damaged-product claims, order cancellations, and other related matters are governed by our Refund & Returns Policy, which forms part of these Terms.

Due to product integrity, contamination-control, storage, and chain-of-custody considerations, certain products may not be eligible for return after shipment.

Nothing in our Refund & Returns Policy or these Terms limits a statutory consumer right that cannot legally be waived.

14. Customer Accounts

Certain Services may permit or require you to create a customer account.

You are responsible for:

Maintaining the confidentiality of your login credentials;

Unless otherwise stated, the Pepéra Labs website and its contents are owned by or licensed to Pepéra Labs Inc.

This includes, where applicable:

The Pepéra Labs name;
Logos;
Branding;
Product photography;
Graphics;
Website designs;
Written content;
Product descriptions;
Videos;
Documents;
Software;
Layouts; and
Other original materials.

These materials may be protected by Canadian and international copyright, trademark, and other intellectual property laws.

You may view and use the website for your own lawful personal or internal business purposes.

You may not reproduce, distribute, modify, republish, sell, commercially exploit, or create derivative works from our protected content without prior written permission unless permitted by law.

Nothing in these Terms excludes or restricts liability where doing so would be prohibited by applicable law.

In jurisdictions that do not permit certain exclusions or limitations of liability, those exclusions or limitations will apply only to the maximum extent legally permitted.

Epidemics or public health emergencies;
Transportation disruptions;
Carrier failures;
Government actions;

Labour disputes;
Power outages;
Telecommunications failures;

Similar events outside our reasonable control.

This provision applies only to the extent permitted by applicable law.

26. Changes to Products and Services

Pepéra Labs may:

Add or remove products;
Change packaging;
Change product specifications;
Change suppliers or service providers;

Privacy Policy;
Refund & Returns Policy;
Applicable checkout disclosures; and
Other policies expressly incorporated by reference

constitute the agreement between you and Pepéra Labs concerning your use of our Services, subject to applicable law.

32. Consumer Protection Rights

Nothing in these Terms is intended to waive, restrict, or exclude any right or remedy available to a consumer that cannot legally be waived, restricted, or excluded.

If any provision of these Terms conflicts with a mandatory requirement of applicable consumer protection legislation, the applicable legislation will prevail to the extent of the conflict.

33. Governing Law

Subject to any mandatory consumer protection rights that apply in another jurisdiction, these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein.

Any dispute subject to the jurisdiction of the Ontario courts will be brought before a court of competent jurisdiction in Ontario.

Nothing in this provision deprives a consumer of a mandatory right to bring a proceeding in another jurisdiction where applicable law provides such a right.
